• Comply with all applicable laws and regulations regarding the content you wish to advertise or promote.

• Ensure that any content or material provided to AlphaDesk for advertising purposes does not infringe on the intellectual property rights of third parties.

3. Advertising Campaigns and Content Publishing

Once an advertising campaign or article is approved by the client and published on news websites or other platforms, the service is deemed delivered.

• Content Accuracy: You are responsible for reviewing and ensuring the accuracy of all content prior to publication.

• Live Status: Once an article or advertisement goes live, changes or edits may not be possible. Any errors or corrections should be communicated immediately to determine if adjustments can be made.

• Consumption Reports: In cases where a campaign is paused or canceled mid-way, a consumption report detailing the usage of services will be provided to assess any potential refunds (see Section 6).

4. Intellectual Property

All materials, designs, content, and intellectual property created by AlphaDesk as part of delivering its services remain the property of AlphaDesk unless otherwise agreed in writing. You retain ownership of all content and material you provide to us for the purpose of advertising or promotion.

• You grant AlphaDesk a non-exclusive, royalty-free license to use, display, and distribute any content you provide for the execution of our services

5. Payment and Billing

• Pricing: All service fees will be agreed upon prior to the start of any campaign or project. Pricing may vary based on the scope and duration of the services.

• Payment Terms: Payments for services are due upon invoicing, unless otherwise specified in a service agreement.

• Late Payments: Invoices not paid by the due date may incur interest or additional charges, as outlined in your agreement with us.

6. Cancellations and Refund Policy

AlphaDesk operates a transparent and fair refund policy. However, given the nature of digital marketing services, the following applies:

• Published Content: Once articles or advertisements are published or go live on news websites, the service is considered fully delivered and non-refundable.

• Mid-Way Cancellations: If you choose to cancel a campaign that is still in progress, you may request a refund based on the services consumed up to the point of cancellation. A consumption report will be generated, and refunds will be processed for the remaining value, as per the agreed costs. Please refer to our Refund Policy for further details.

• No Refunds: For services that are fully delivered, refunds are not applicable. Exceptions may be made in cases of technical errors or if the content has not gone live as agreed.

7. Limitation of Liability

AlphaDesk provides services on a commercially reasonable, best-effort basis. However, we make no guarantees regarding the outcomes or performance of advertising campaigns, including traffic, engagement, or sales.

To the maximum extent permitted by law, AlphaDesk is not liable for:

• Loss of profits, revenue, or business arising from the use of our services.

• Any indirect, incidental, or consequential damages.

• Any errors, delays, or interruptions in service delivery caused by third-party platforms (such as news websites or ad platforms).

8. Indemnification

You agree to indemnify and hold harmless AlphaDesk, its officers, employees, and agents from any claims, damages, or liabilities arising from:

• Your breach of these Terms.

• Any content you provide for advertising purposes that infringes on the rights of third parties.

• Your violation of any applicable laws or regulations in relation to the services provided by AlphaDesk.

9. Termination

We reserve the right to terminate or suspend your access to our services at any time, without notice, for any reason, including:

• Breach of these Terms.

• Failure to pay for services as agreed.

• Engaging in unlawful or unethical practices.

Upon termination, any outstanding fees for services rendered will remain payable.

10. Privacy Policy

Your use of our website and services is also governed by our Privacy Policy, which outlines how we collect, use, and protect your personal data.

11. Governing Law and Dispute Resolution
